Civinity completes acquisition of Valandinis: platform to roll out crew solutions and targets international expansion

Civinity, a building maintenance and engineering solutions group, has completed the acquisition of shares in the construction specialists platform Valandinis and has become its sole shareholder. The Group expects this step to accelerate investment in the platform’s development, introduce new services to the market and enable a consistent expansion beyond Lithuania.

“The paradox in construction is straightforward: workloads are growing, yet the pace of orders remains cyclical. At one moment, companies face a critical shortage of people; at another, some teams are unable to use their full capacity. As Valandinis’ sole shareholder, we can make decisions faster and invest where we see the greatest impact for the market – in flexible, transparent and predictable workforce planning. The natural next step is export: we will first assess opportunities to launch in markets where the Group already has a strong footing,” says Deividas Jacka, Chairman of the Board and Founder of Civinity.

Valandinis is a digital solution connecting construction companies with self-employed construction specialists. It helps companies quickly bring in extra hands for a specific stage of work or a project, while allowing tradespeople to choose projects, workloads and schedules that suit them. Such solutions are particularly relevant when the market simultaneously experiences large-scale projects and temporary slowdowns, prompting companies to look for a more efficient staffing model.

“Today, those who can adapt quickly are the ones who win in construction. Companies do not need people ‘on average over the year’ – they need them right now: this week, for this stage, on this site. At the same time, we increasingly see another need: companies want to deploy their existing capacity intelligently when workloads temporarily dip in their own projects,” says Evaldas Pankevičius, Head of Valandinis.

He notes that Valandinis’ model can not only supply workers for short-term engagements and specific tasks, but also work the other way around – by absorbing capacity from projects where demand has fallen and working hours would otherwise be used inefficiently.

According to E. Pankevičius, the platform’s near-term development will place significant focus on working with crews, so that companies can assemble the required team even faster, while specialists gain more opportunities to work not only individually but also as part of established teams.

“The market clearly shows that the crew model is becoming increasingly sought-after – companies need not a single person, but a fully assembled team. We are developing solutions that will make it easier to integrate both individual specialists and already operating crews. Our goal is for the platform to help companies manage peaks and troughs in demand so that downtime is reduced and work schedules become more predictable,” E. Pankevičius adds.

Civinity acquired a controlling stake in UAB Valandinis in January 2023 for approximately EUR 0.54 million. The remaining shares were acquired for EUR 0.72 million; the total consideration for the full buyout amounted to approximately EUR 1.26 million.

The Civinity Group comprises 40 companies operating in Lithuania, Latvia and the United Kingdom, providing building maintenance, engineering systems design, installation and maintenance, territory maintenance, and related management services. In 2024, Civinity Group revenue totalled EUR 88.5 million and pro forma EBITDA amounted to EUR 7.4 million.
