Civinity, a building maintenance, engineering and technology solutions group, is launching an offering of a new tranche of bonds with an aggregate nominal value of up to EUR 8 million. The proceeds are intended to finance three acquisitions planned for the near future.
The public bond offering in Lithuania, Latvia and Estonia will run from 5 November until 20 November at 15:30 Vilnius time. The bonds carry a fixed annual interest rate of 10%, and the yield specified in the offering documents is 10%. Depending on demand, the size of the tranche offered may be increased. The bonds issued will be admitted to trading on the Nasdaq Vilnius regulated market.
“Having acquired Metus and Admeo this year, we are continuing to work on other growth opportunities. We expect to complete three transactions in different European countries by the end of this year and are arranging financing for them in advance. When assessing a company, we look at how it will fit with the Group’s existing businesses and what opportunities its team will have. It matters to us that the acquired business can continue to grow after joining the Group,” says Deividas Jacka, founder and Chairman of the Board of Civinity.
According to D. Jacka, if the three transactions are completed successfully, they would increase Civinity Group’s annual turnover by more than EUR 60 million and its EBITDA by more than EUR 9 million. The companies targeted for acquisition operate in different sectors in Croatia and Slovenia, markets already familiar to the Group, while the third acquisition is planned in a new market for the Group – Estonia – extending its operations across all three Baltic States.
More than 600 investors participated in the previous offering
In June, Civinity placed bonds with a nominal value of EUR 13 million and raised EUR 13.54 million. This was the largest amount the Group had raised in a single offering.
Bonds were purchased by 613 investors from Lithuania, Latvia and Estonia. Of these, 604 were retail investors, whose investments totalled EUR 6.84 million, or 50.5% of all funds raised. Institutional investors contributed the remainder.
Some of the funds raised in the previous offering have already been used to finance the acquisitions of Metus and Admeo. The Metus transaction expanded the Group’s operations in Croatia and Slovenia. The business that joined Civinity installs lifts and provides maintenance and modernisation services. In Vilnius, the building management company Admeo was acquired jointly with Sail Invest.
The impact of acquisitions is reflected in the Group’s results
The Group’s unaudited pro forma revenue for the 12 months ended 30 June 2026 amounted to EUR 121.3 million, up 31.4% year on year. Pro forma EBITDA for the same period increased by 27.7% to EUR 9.7 million. These figures include Metus’s results for the full 12-month period, including the period before its acquisition.
Actual revenue for January–June 2026 amounted to EUR 52.9 million, 14.9% higher than in the same period last year. EBITDA for the first half grew by 22.6% to EUR 5.1 million.
Interest will be paid semi-annually
The nominal value of each bond is EUR 1,000 and the offering price is EUR 1,035.8961. The minimum subscription is one bond. Interest will be paid semi-annually, and the bonds mature on 17 July 2029. The issue date for the new tranche is scheduled for 27 November 2026.
The offering is being conducted under a bond programme with an aggregate nominal value of up to EUR 50 million and a new base prospectus approved by the Bank of Lithuania on 23 September. This prospectus covers the remaining portion of the programme, providing for the issue of bonds with an aggregate nominal value of up to EUR 26.65 million and their admission to trading on the Nasdaq Vilnius regulated market. The tranche being offered in November forms part of this amount.
The legal adviser to the issue is the law firm TEGOS, a professional partnership of lawyers.
Investors can place orders through the bank or brokerage firm with which they hold a securities account. Individual financial institutions may set earlier order submission deadlines, so investors should check these in advance.
An online meeting for investors will take place on 9 November at 13:00. Tomas Staškūnas, Chief Executive Officer of AB Civinity, will present the Group’s operations, financial results and the key terms of the offering. The presentation will be held in English.
